Terms of Service
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “parent,” “guardian,” or “student”) and Star Elements (“we,” “our,” or “us”), governing your access to and use of our digital learning and testing portal at www.starelements.ai and our tutoring platform at www.starelements.net (together, our “Services”). By creating an account, purchasing a package or subscription, booking a session, or accessing the Digital Portal, you confirm that you have read, understood, and agreed to these Terms.
Agreement to Terms
These Terms govern your use of both www.starelements.ai and www.starelements.net. If acting on behalf of a minor, you represent that you are the parent or legal guardian and accept these Terms on their behalf. We may update these Terms from time to time. Continued use of our Services after changes become effective constitutes your acceptance.
About Our Services
2.1 Digital Learning and Testing Portal (www.starelements.ai)
The Digital Portal offers students self-paced digital learning modules and adaptive digital assessments covering SAT, ACT, and AP subject areas. Access may be provided free of charge to enrolled tutoring students, as a paid standalone subscription, or on such other terms as communicated at the time of enrollment.
2.2 Tutoring Platform (www.starelements.net)
Star Elements provides online SAT, ACT, and AP tutoring for high school students. All sessions are conducted exclusively online via approved video conferencing platforms. Scheduling, booking, payment, and student portal access are managed through TutorBird (Port 443 Inc.). Any attempt to arrange sessions or payments directly with tutors outside the Star Elements platform may result in immediate account termination.
2.3 Cross-Portal Account
A single Star Elements account may provide access to both portals. Account security obligations apply equally across both services.
Account Terms & Eligibility
- You must be 13 years of age or older to use our Services. All accounts for students under 18 must be created and managed by a parent or legal guardian who is at least 18 years of age.
- For students under 13 accessing the Digital Portal, a parent or guardian must provide verifiable parental consent in accordance with COPPA before the account is activated.
- You must provide accurate, complete, and current information. One login may not be shared by multiple people.
- You are responsible for the confidentiality of your account credentials and for all activity under your account. Notify us immediately at info@starelements.net or support@starelements.net if you suspect unauthorized use.
- Star Elements reserves the right to refuse service to anyone for any reason consistent with applicable law.
Digital Portal Terms (www.starelements.ai)
4.1 Permitted Use
The Digital Portal is for the student’s personal educational use only. You may not share login credentials, redistribute content, or use the portal for any commercial or unauthorized purpose.
4.2 Adaptive Learning Data
The Digital Portal uses adaptive technology that tracks your interactions, quiz results, and learning patterns to personalize your experience. This data is processed in accordance with our Privacy Policy, including our obligations under COPPA, FERPA, GDPR, and CCPA.
4.3 Content Ownership
All digital learning content, practice tests, and assessments on starelements.ai are the proprietary intellectual property of Star Elements. You may not reproduce, share, publish, or redistribute any content without our prior written consent.
4.4 AI-Powered Features — Important Disclaimers
Several features on starelements.ai use artificial intelligence, including the Skye AI tutor chat, generated lesson and explanatory content, AI-assisted progress analysis, and score-prediction estimates. By using these features, you acknowledge the following:
- AI responses may be inaccurate. AI-generated answers, explanations, and lessons may occasionally contain factual errors, outdated information, or misleading reasoning. You should independently verify important information with a qualified teacher, official testing organization materials (College Board, ACT, etc.), or your school’s curriculum before relying on it.
- Score predictions are AI-generated estimates only. Any score predictions, projected scores, or readiness indicators surfaced on starelements.ai are estimates based on your practice performance. They are not guarantees of actual SAT, ACT, AP, or any other exam score. Do not rely on these estimates for college applications, scholarship deadlines, or any other high-stakes decision.
- Educational prompts you submit may be processed by third-party AI providers. Prompts (e.g. questions you ask the Skye tutor) are processed under the safeguards described in our Privacy Policy. Do not submit personally identifying information, sensitive personal data, or content you do not have the right to share.
- AI assistance is for practice and study only. The AI features on starelements.ai are intended for self-paced learning. They are not certified instructional materials and are not a substitute for qualified human tutoring or classroom instruction.
Tutoring Packages & Booking (www.starelements.net)
5.1 Package Structure
Star Elements sells SAT, ACT, and AP tutoring in prepaid packages. Each completed session deducts the applicable hours from your package balance. Package hours are non-transferable between students or accounts. Unused hours at expiry are forfeited unless otherwise agreed in writing by Star Elements.
5.2 Digital Portal Access Bundled with Packages
Where Digital Portal access is included with a tutoring package, the terms of that inclusion will be communicated at time of purchase. Digital Portal access does not extend the tutoring package validity period, and vice versa.
5.3 Booking and Tutor Availability
Sessions are booked through TutorBird. If a tutor becomes unavailable, we will offer a qualified replacement or a credit of the session hours to your package. Sessions begin at the scheduled time; if a student joins late, the session still ends at the originally scheduled time. If a tutor joins late, the session will be extended or a partial credit applied at our discretion.
5.4 Technical Requirements
You are responsible for a working device (camera and microphone), a stable internet connection, and access to the session link before each session. Star Elements is not responsible for technical difficulties on the student’s end.
Cancellation & Rescheduling Policy
6.1 Student / Parent Cancellations (Live Tutoring)
More than 24 hours before: Hours returned in full.
Between 2 – 24 hours: 50% of hours deducted (or full credit if rescheduling).
Less than 2 hours or no-show: Full hours deducted, no credit or refund, no exceptions.
To cancel or reschedule, use the TutorBird student portal or email info@starelements.net with your booking reference. An email request alone is not a confirmed cancellation.
6.2 Tutor Cancellations
If a tutor cancels a confirmed session, the session hours will be returned in full and priority rescheduling offered at no additional charge.
6.3 Account Cancellation
You may cancel your account at any time by contacting info@starelements.net or using the cancellation flow on /account for self-managed Digital Portal subscriptions. Unused prepaid tutoring package hours will be refunded on a pro-rata basis. Paid Digital Portal subscription refund terms apply per the subscription agreement. All TutorBird portal content will be deleted upon account cancellation, subject to legal retention requirements (Privacy Policy Section 14).
Payment Terms
All prices are in US dollars unless otherwise stated. Payments are processed through Stripe and/or PayPal/Braintree (both PCI-DSS compliant). Star Elements does not store your full card details on its own servers. Fees are exclusive of taxes applicable in your jurisdiction. Receipts are emailed after each successful payment.
Prices are subject to change upon 30 days’ notice. Existing subscriptions continue at their current price through the current billing period; new prices apply at the next renewal.
Subscription Auto-Renewal
- You may cancel auto-renewal at any time from the “My Account” page on starelements.ai, or by emailing info@starelements.net. Cancellations take effect at the end of the current paid period.
- Cancellation does not produce a refund of the current period’s charge; you retain access until the period ends.
- We will send a reminder email before each renewal for semi-annual subscriptions; monthly subscribers receive a receipt after each successful charge.
- If a payment fails, we will retry the charge per Stripe’s standard retry schedule and notify you by email. After repeated failure, the subscription will be suspended until the payment method is updated.
Refund Policy
Full details are in our Refund Policy. In summary:
- Live session cancellations follow the schedule in Section 6.1.
- Tutoring packages are fully refundable within 7 days if no sessions have been used.
- Partially used packages are refunded on a pro-rata basis for verified unused hours.
- The Digital Portal standalone subscription carries a 7-day money-back guarantee from initial purchase, even if accessed during that period.
- After the 7-day window, Digital Portal subscriptions are non-refundable for the current paid period; you may cancel auto-renewal at any time (Section 8) and access continues until the period ends.
- The 7-day money-back guarantee on the Digital Portal subscription may be used only once per student. If you cancel within the first 7 days to receive a full refund under this guarantee, and you subsequently set up a new student account, or renew or repurchase any subscription for that same student, the subsequent subscription is not eligible for the 7-day money-back guarantee. Any money-back cancellation request on that subsequent subscription will be declined, and the subscription will continue to the end of its then-current monthly or six-monthly term.
- No refund is issued for dissatisfaction based solely on academic outcomes.
- No refund for sessions cancelled with less than 2 hours’ notice or no-shows.
Refunds are issued to the original payment method within 5–10 business days of approval.
Platform Use & General Conditions
You may use our Services solely for accessing tutoring and digital learning as described in these Terms. You must not:
- Use the Services to facilitate cheating on any official examination, including the SAT, ACT, AP exams, or any other proctored or standardized test administered by the College Board, ACT Inc., a school, university, or any other testing organization
- Upload, share, copy, reproduce, or distribute through the Services any copyrighted exam content owned by College Board, ACT Inc., AP, or other testing organizations — including but not limited to actual SAT, ACT, or AP exam questions, answer keys, reading passages, or scoring rubrics from past or upcoming administrations
- Use the Skye AI tutor or any other AI assistance feature during a real proctored examination — AI assistance on starelements.ai is for practice and study only, and using it during an official exam may constitute exam misconduct under the testing organization’s rules
- Share your account credentials with any other person, allow another person to use your account, or use someone else’s account — each student needs their own individual account
- Impersonate another student, tutor, parent, Star Elements staff member, or any other person, or misrepresent your affiliation with any person or entity
- Misuse AI features to generate content that violates these Terms or the Code of Conduct, including academic dishonesty, harassment, or extraction of training data from underlying models
- Modify, hack, reverse-engineer, decompile, or attempt to extract source code from any part of our Services
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of our Services without express written permission
- Transmit any spam, malware, viruses, or code of a destructive nature
- Use automated tools (bots, scrapers, crawlers) to access the Services except as expressly permitted
- Attempt to bypass security mechanisms, rate limits, or access controls
Code of Conduct
All users must treat tutors, staff, and other students with respect and professionalism at all times. Discriminatory remarks, abusive behavior, unauthorized recording of sessions, and attempts to bypass the platform are prohibited. Full standards are in our Code of Conduct. Violations may result in immediate suspension or termination across both portals without refund.
Intellectual Property & User Content
12.1 Our Intellectual Property
All content on www.starelements.ai and www.starelements.net — including text, graphics, logos, course materials, assessments, lesson plans, AI prompt templates, and software — is the property of Star Elements or its licensors and is protected by US and international copyright, trademark, and other intellectual property laws. Course and session materials are for personal educational use only and may not be redistributed, published, or shared without prior written consent.
12.2 Your Submissions
When you use the Services, you may submit content to us, including: notes you write on lessons; prompts and messages to the Skye AI tutor; questions you flag and accompanying feedback; comments and support requests; uploaded files (where supported); and any other text or material you provide (“User Submissions”). You retain ownership of your User Submissions.
12.3 License You Grant to Star Elements
By submitting User Submissions, you grant Star Elements a worldwide, non-exclusive, royalty-free, transferable, sublicensable, limited operational license to use, store, copy, process, transmit, display, and create derivative works of your User Submissions solely for the purpose of providing, improving, securing, and protecting the Services — for example, to display your notes back to you, route a prompt through an AI service provider to generate a response, or include flagged-question feedback in our quality-review workflows. This license terminates when you delete the submission or your account, except where the content has been incorporated into aggregate analytics or is required for legal retention.
12.4 Your Representations
You represent and warrant that your User Submissions: (a) do not violate the intellectual property, privacy, publicity, or other rights of any third party; (b) do not contain unlawful, defamatory, harassing, or obscene material; (c) do not contain personally identifying information of any other person without their consent; and (d) for student users, do not contain content from official exams owned by College Board, ACT Inc., or other testing organizations (see Section 10).
12.5 Moderation & Removal Rights
Star Elements reserves the right (but not the obligation) to:
- Moderate, review, screen, or refuse to display any User Submission at our discretion
- Remove, suspend, or modify any User Submission that violates these Terms, our Code of Conduct, applicable law, or the rights of third parties
- Use automated tools (including AI-powered moderation) to detect prohibited content
- Investigate and take appropriate action against users who upload prohibited content, including account suspension or termination per Section 20
- Preserve and disclose User Submissions where required by valid legal process or to protect student safety
Copyright Complaints (DMCA)
If you believe content on our Services infringes your copyright, please send a written notice to info@starelements.net with the subject “DMCA Notice” including: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the allegedly infringing material with enough detail to locate it; (3) your contact information; (4) a statement that you have a good-faith belief that the use is not authorized; (5) a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner; and (6) your physical or electronic signature. We will respond per 17 U.S.C. § 512.
No Recording Policy
No party — tutor, student, or parent — may record any tutoring session without prior written consent from Star Elements and all session participants. Unauthorized recording violates these Terms and may constitute a violation of applicable law. Digital Portal content may not be screen-recorded or captured for redistribution.
Privacy, COPPA, FERPA, GDPR & CCPA
Your use of our Services is subject to our Privacy Policy, which describes our compliance with COPPA (children’s privacy), FERPA (student education records), GDPR (EEA and UK users), and CCPA (California residents). Please review the Privacy Policy carefully.
Electronic Communications Consent
By creating an account, you consent to receive communications from us electronically — email, in-app notifications, and (where you provide a phone number) text messages limited to account security and session reminders. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Limitation of Liability
To the fullest extent permitted by law, Star Elements shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of either portal, including but not limited to data loss, lost profits, lost opportunities, or unsatisfactory academic outcomes — even if Star Elements has been advised of the possibility of such damages. Our total cumulative liability for any claim arising from or related to these Terms or your use of the Services shall not exceed the total amount you paid to us in the 30 days preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
Disclaimer of Warranties
Our Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that specific academic outcomes will result from use.
Indemnification
You agree to indemnify, defend, and hold harmless Star Elements and its owners, officers, employees, contractors, tutors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you post that infringes a third party’s rights.
Termination
Star Elements may suspend or terminate your account across both portals at any time, with or without notice, for any reason consistent with applicable law, including breach of these Terms.
- Termination for cause (breach by you): no refund for unused hours, no refund of current subscription period.
- Termination without cause by Star Elements: pro-rata refund for unused tutoring package hours; Digital Portal subscription terms apply separately.
- Termination by you: see Section 6.3 (account cancellation) and Section 9 (refund policy).
Upon termination, TutorBird portal content will be deleted and cannot be recovered. Digital Portal data is retained per the Privacy Policy retention schedule (Section 14) unless you specifically request earlier deletion.
Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, pandemics, or third-party service provider outages. Upon the occurrence of such an event, the affected party will use reasonable efforts to resume performance as soon as practicable.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws provisions.
22.1 Informal Resolution
Before initiating any formal dispute, the parties agree to attempt good-faith negotiation. Send a written description of the dispute to info@starelements.net. If the dispute is not resolved within 30 days, either party may proceed to arbitration.

Either party may bring an action in small claims court for any qualifying dispute. The parties may also seek injunctive or equitable relief in court for any actual or threatened infringement of intellectual property rights.
Assignment, Waiver, and Severability
23.1 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Star Elements may assign its rights and obligations to any affiliate or successor in connection with a merger, acquisition, or sale of assets.
23.2 Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or our right to enforce it later. No waiver is effective unless made in writing and signed by an authorized representative of Star Elements.
23.3 Severability
If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
23.4 Section Survival
Sections that by their nature should survive termination of these Terms will survive, including (without limitation): Sections 10 (Platform Use), 12 (Intellectual Property & User Content, including the license you granted in 12.3), 17 (Limitation of Liability), 18 (Disclaimer of Warranties), 19 (Indemnification), 22 (Governing Law & Dispute Resolution), and 23 (this section).
23.5 Headings
Section headings are for convenience only and do not affect interpretation.
Entire Agreement & Modifications
These Terms, together with our Privacy Policy, Code of Conduct, and our Refund Policy, constitute the entire agreement between you and Star Elements regarding the Services and supersede any prior or contemporaneous agreements, communications, or proposals on the subject.
Star Elements reserves the right to modify or discontinue any part of our Services with reasonable notice, and to update these Terms as described in Section 1. The current version of the Terms is always available at www.starelements.ai/terms.
